Terms of Service

These Terms of Service (“Terms”) are a contract between you and Alpha UMI Inc., which operates RoamCircle (“RoamCircle,” “we,” “us”), a marketplace where creators build and sell travel guides. By creating an account or using RoamCircle, you agree to these Terms. If you don’t agree, don’t use the service.

Who can use RoamCircle

You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. If you use RoamCircle on behalf of an organization, you represent that you may bind that organization to these Terms.

Your account

You sign in using a supported provider or a magic link. You’re responsible for the activity on your account and for keeping access to your email secure. Provide accurate information and keep it current. We may suspend or terminate accounts that violate these Terms or that create risk for RoamCircle or its users.

Guides and other content

You own your content. Creators keep ownership of the guides, text, images, and other materials they create (“Content”). We don’t claim ownership of it.

License to operate the service. To run RoamCircle, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your Content as needed to provide, promote, and improve the service — for example, showing your published guide and profile to buyers and in marketing.

Your responsibilities. You represent that you have the rights to the Content you upload and that it doesn’t infringe anyone’s intellectual property, privacy, or other rights. Anything you publish — your profile and published guides — is public; don’t include information you want to keep private.

Acceptable use

You agree not to:

• Post unlawful, infringing, deceptive, hateful, or sexually exploitative content.
• Misrepresent a guide, its places, or what a buyer will receive.
• Infringe intellectual property or use images or text you don’t have rights to.
• Attempt to bypass payments, fees, security, or access controls.
• Scrape, overload, reverse-engineer, or disrupt the service.
• Use RoamCircle to send spam or to collect others’ data without permission.

Selling on RoamCircle (creators)

Creators set the price of each guide. To receive payouts you must connect a Stripe account and complete Stripe’s onboarding and identity verification. Payments and payouts are handled by Stripe and are also subject to the Stripe Connected Account Agreement.

Platform fee. When a buyer purchases your guide, RoamCircle retains a platform fee of 15% of the sale price, and the remainder is transferred to your connected Stripe account, net of Stripe’s processing fees. We may change the platform fee prospectively with notice; the fee in effect at the time of a sale applies to that sale.

Taxes. You are responsible for determining, collecting, reporting, and remitting any taxes that apply to your sales, except where we are legally required to collect them.

Buying on RoamCircle (buyers)

When you purchase a guide, you get access to view that guide in your library. Prices are shown before purchase and charged through Stripe. Because guides are digital content delivered immediately, all sales are final and non-refundable except where required by law or at our discretion — for example, if a guide is materially not as described or fails to deliver. Guides are informational. RoamCircle does not operate the places listed and isn’t responsible for their availability, pricing, safety, or your experience there. Use your own judgment when you travel.

Our intellectual property

RoamCircle’s name, logo, software, and design are owned by Alpha UMI Inc. and protected by intellectual-property laws. These Terms don’t grant you any right to use our branding except as needed to use the service normally.

Third-party services

RoamCircle relies on third parties including Stripe (payments), Google Maps Platform (places and maps), our sign-in providers, and AI and hosting providers. Your use of features powered by them may be subject to their terms, and we aren’t responsible for third-party services.

Termination

You may stop using RoamCircle and delete your account at any time (see our Data deletion page). We may suspend or terminate your access if you violate these Terms or to protect the service or its users. Sections that by their nature should survive termination — including content licenses already granted, payment obligations, disclaimers, and limitations of liability — will survive.

Disclaimers

RoamCircle is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t warrant that the service will be uninterrupted, error-free, or secure, or that guide content is accurate or up to date.

Limitation of liability

To the fullest extent permitted by law, Alpha UMI Inc. and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the service is limited to the greater of the amounts you paid to RoamCircle in the twelve months before the claim or one hundred U.S. dollars (USD $100).

Indemnification

You agree to indemnify and hold Alpha UMI Inc. harmless from claims and expenses (including reasonable legal fees) arising out of your Content, your use of the service, or your violation of these Terms or of any law or third-party right.

Governing law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute that isn’t subject to another agreement (such as Stripe’s).

Changes to these Terms

We may update these Terms from time to time. We’ll revise the “Last updated” date above and, for material changes, provide additional notice. Continuing to use RoamCircle after changes take effect means you accept the updated Terms.
